1. Agreement to Terms

By accessing materialls.com or submitting your information to join the Materialls network, you agree to these Terms and Conditions. If you do not agree, do not use our services.

2. What Materialls Is — and Is Not

Materialls operates as a purchasing group and contractor membership network for independent roofing contractors. Our role is to aggregate the collective buying power of our members to negotiate better pricing, discounts, and offers with material suppliers and industry partners.

Materialls is not a materials supplier, distributor, or manufacturer. We do not sell, ship, or guarantee the availability of any roofing materials. Any pricing, discounts, or supplier terms accessed through the Materialls network are subject to each supplier's own policies and availability.

3. Membership & Eligibility

Membership in Materialls is:

• Free — there are no sign-up fees or monthly membership dues
• Available to licensed or actively operating roofing contractors in the United States
• Subject to approval — Materialls reserves the right to accept or decline any membership application at its discretion

Membership benefits, supplier pricing, and offers may change at any time and are not guaranteed.

4. Communications Consent

By joining or submitting your information, you explicitly consent to being contacted by Materialls through:

• Email — for membership updates and service-related communications
• SMS / Text Messages — automated and manual text messages for account updates, quote follow-ups, and scheduling reminders
• Phone Calls — live calls, pre-recorded messages, and autodialed calls from our team or authorized partners
• AI Voice Calls — you may receive or initiate calls handled by AI voice agents on behalf of Materialls; AI-handled calls will be disclosed at the start of the conversation

Mobile information will not be shared, sold, or transferred to third parties for marketing or promotional purposes.

You may opt out of communications at any time without affecting your membership eligibility.

5. No Guarantee of Savings or Supplier Terms

Materialls facilitates access to preferred pricing programs and supplier relationships. However:

• Discounts and savings are not guaranteed and may vary by supplier, region, and order volume
• Supplier relationships and offers are subject to change without notice
• Materialls is not responsible for any supplier's failure to honor quoted pricing or deliver materials

6. Intellectual Property

All content on materialls.com, including text, logos, images, and graphics, is owned by or licensed to Materialls. You may not reproduce, distribute, or use our content without written permission.

7. Limitation of Liability

To the fullest extent permitted by law, Materialls shall not be liable for:

• Any indirect, incidental, or consequential damages arising from your use of our services
• Supplier failures, pricing discrepancies, or material delivery issues
• Interruptions or errors in our website or communication systems

Our total liability to you shall not exceed the amount paid by you to Materialls (which, for free members, is $0).

8. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, governed by the laws of the State of Florida. Class action lawsuits are waived to the extent permitted by law.

9. Changes to These Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted at materialls.com with a revised effective date. Continued use of our services after an update constitutes your acceptance.
